第二乐章，这一乐章即是全曲最撼人的心弦的著名乐章，整个乐章虽以慢板演奏，却从未予人沉重呆滞的感觉，其中又以该乐章中悦耳动听的主题，最能表达出幽怨凄美的情感，令人难以抗拒。事实上，这个乐章在结构上虽为A-B-A'-C'-A"-Coda所组成，但其中B、C的气氛却与A大同小异，因此整个乐章也可以看成是一个变奏曲。A段（B小调）首先由吉他奏出悠扬而抒情的琶音。接着由英国管吹出如梦似幻的主题，相同的主题在吉他与英国管的相互呼应下，乐曲进入E小调的B段，再回到B小调三连音符的A'段。继之双簧管以A小调弱奏导出C段，不久吉他独奏以E小调奏出与第一主题相同的旋律，吉他独奏之后，双簧管以谱例九呼应吉他，继之长笛、短笛及双簧管以轻快的三连音将管弦乐导入另一新的音型。于此，吉他继续其即兴式的演奏，随后则交由管弦乐渐渐导引出全曲技巧最难、表情最浓的装饰奏。此时吉他再度回到最初的动机，并奏出华丽且充满的想象的音型，在此演奏者若不具高超的技巧与音乐性，极有可能会将乐曲的情境意趣破坏殆尽。接着乐曲在三次强而有力的吉他Rasgueado后进入高潮，管弦乐除了以强音复示最初的主题，并乘势以升F小调带出A"。乐曲最后在B大调的上行分散和弦中，由吉他以织柔的拨弦及泛音幽静的结束。
